Terms of Service

1. Acceptance of These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Sturdy, LLC (“Sturdy,” “we,” “us,” or “our”) governing your access to and use of the Sturdy geotechnical document platform at app.sturdy.com and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. Eligibility
The Service is intended for business and professional use by individuals who are at least 18 years old. You may use the Service only in compliance with these Terms and all applicable laws.
3. Description of the Service
The Service enables users to upload field log documents, convert them into editable geotechnical documents using AI-assisted extraction, edit and manage that data, collaborate within an organization, and export deterministic PDF and Excel deliverables. Features may change over time as we develop the Service.
4. Accounts and Organizations
Access requires authentication through a one-time email link or code. You are responsible for maintaining the security of your email account and for all activity that occurs under your account. The Service supports organizations with role-based access (such as admin, editor, and viewer). Organization administrators are responsible for managing their members’ access and for their members’ use of the Service.
5. Customer Data and License
“Customer Data” means the documents, files, and data you upload to or create in the Service. As between you and Sturdy, you retain all rights in and ownership of your Customer Data.
You grant Sturdy a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Customer Data solely as necessary to provide, maintain, secure, and improve the Service for you, including transmitting content to the third-party providers described in our Privacy Policy. You represent and warrant that you have all rights necessary to upload your Customer Data and to grant this license, and that your Customer Data does not infringe or violate the rights of any third party.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Upload content you do not have the right to upload, or that infringes intellectual property or privacy rights;
- Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks;
- Interfere with, disrupt, overload, or reverse engineer the Service or its underlying infrastructure;
- Use the Service to build a competing product, or resell or sublicense the Service without our consent; or
- Upload malicious code or use the Service to transmit harmful or unlawful material.
7. AI Output and Professional Responsibility
The Service uses automated and AI-assisted processing to extract and reword data from your documents. Such output may be incomplete, inaccurate, or otherwise contain errors. The Service is a tool and does not provide engineering advice or professional judgment.
You are solely responsible for reviewing, validating, and verifying all extracted data, interpretations, bore logs, and exported deliverables before relying on or distributing them. Any geotechnical, engineering, or other professional determinations remain the responsibility of the qualified, licensed professional, and must be independently confirmed against source records.
8. Third-Party Services
The Service relies on third-party providers (for example, for hosting, storage, authentication, analytics, mapping, and AI processing). Your use of the Service may be subject to those providers’ terms, and we are not responsible for the acts or omissions of third parties. Our use of these providers is described in our Privacy Policy.
9. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by Sturdy and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.
If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free license to use that feedback without restriction.
10. Fees
Access to the Service may be subject to fees under a separate ordering arrangement or subscription. Any applicable fees, billing terms, and payment methods will be communicated to you. Where no separate agreement applies, the Service is provided to you on the terms set out here.
11. Confidentiality
Each party may receive non-public information from the other in connection with the Service. Each party agrees to use the other’s confidential information only as necessary to exercise its rights and perform its obligations under these Terms and to protect it using reasonable care.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT (INCLUDING AI-GENERATED OUTPUT) WILL BE ACCURATE OR COMPLETE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. STURDY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STURDY FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify and hold harmless Sturdy and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your Customer Data, your use of the Service, or your violation of these Terms or applicable law.
15. Term and Termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends. You may request export of your Customer Data prior to termination, and we may delete Customer Data after a reasonable period following termination, subject to our Privacy Policy and legal obligations.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in Utah, and you consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sturdy regarding the Service.
